Terms of Service & Disclaimers

By accessing or using the KAISEI / Ship Project website and services (the “Platform”), you agree to these Terms of Service. If you do not agree, do not use the Platform. These terms apply in addition to our Legal Notice and Refund Policy.

KAISEI / Ship Project is an information and matching platform that connects sellers of pre-owned vessels in Japan with international buyers. We provide listing information, concierge introductions, and negotiation support. Unless explicitly stated in writing for a specific transaction, we are not the seller, broker of record, shipyard, surveyor, or shipping agent.

KAISEI is not a party to any vessel sale. Any purchase contract, survey, financing, shipping, customs clearance, or title transfer is solely between the buyer and seller (and their appointed professionals). KAISEI does not guarantee vessel condition, title, seaworthiness, export eligibility, or closing outcomes.

We facilitate introductions and platform tools only. Nothing on the Platform constitutes legal, financial, maritime, or customs advice.

Payments made through Stripe on the Platform are service retainers or contact unlock holds, not full purchase payments. The standard Service Retainer is USD 1,000 unless otherwise displayed at checkout. Deposits are generally non-refundable; see our Refund Policy for exceptions.

You authorize us to charge the payment method you provide for the amount displayed at checkout. All payment processing is handled by Stripe in accordance with Stripe's terms and privacy policy.

1. 本サービスにおいて、購入希望者（以下「買手」といいます）が販売希望者（以下「売手」といいます）との間で連絡先情報の開示および具体的な売買交渉を開始するにあたり、買手は当社が指定する一定の金額（以下「手付金」といいます）を決済するものとします。
2. 前項の手付金（Contact Unlock Hold）は、買手の真摯な交渉開始の担保および連絡先開示の条件として、次条に定める外部決済事業者において保持されます。当社の Phase 2c サービスでは、手付金は船舶購入代金ではなく、売手への購入代金支払として解放されません。
3. 買手および売手は、手付金の決済が完了するまでは、相手方の直接の連絡先情報を閲覧、または取得することはできないものとします。

1. 当社は、本サービスにおける決済処理、手付金の保持、および返金処理（以下「決済処理等」といいます）の一切を、独立した第三者決済事業者（以下「決済事業者」といいます）が提供する決済システムを利用して行います。
2. ユーザーは、決済処理等を行うにあたり、決済事業者が定める規約およびプライバシーポリシーに同意するものとします。
3. 当社は、本サービスのサーバー内においてユーザーのクレジットカード情報その他の機密性の高い決済情報を保持しません。
4. 決済事業者のシステム障害、バグ、不正アクセス、クレジットカード情報の漏洩、または決済事業者の破産等、決済事業者の責に帰すべき事由によりユーザーに生じた損害について、当社は故意または重大な過失がない限り、一切の責任を負わないものとします。

All vessels listed on the Platform are offered on an as-is, where-is basis. KAISEI / Ship Project makes no warranty or representation regarding:

• Physical condition, seaworthiness, or operational fitness of any vessel;
• Accuracy or completeness of specifications, photographs, or descriptions;
• Legal title, liens, encumbrances, or export eligibility;
• Compliance with regulations in your jurisdiction.

Buyers are solely responsible for conducting independent surveys, sea trials, title searches, and legal due diligence before completing any purchase.

KAISEI / Ship Project does not assume responsibility for:

• International shipping, freight forwarding, or delivery logistics;
• Customs clearance, import/export permits, or regulatory compliance;
• Import duties, export taxes, VAT, or other governmental charges;
• Delays, damage, or loss occurring during transit.

Shipping and customs arrangements are between the buyer, seller, and their appointed agents. Any cost estimates provided through the Platform are indicative only.

When using the Platform, you agree to:

• Provide accurate contact and inquiry information;
• Use the Platform only for legitimate vessel acquisition purposes;
• Not scrape, copy, or redistribute listing data without written permission;
• Comply with all applicable laws in your jurisdiction, including import regulations;
• Respond promptly to concierge communications regarding active negotiations.

1. 当社は、本サービスおよびデータベースの安全性を確保するため、商業上合理的なセキュリティ対策を講じるものとします。
2. 当社が適切なセキュリティ対策を講じていたにもかかわらず、第三者による一般的な技術水準では予測または回避不能なサイバー攻撃、ハッキング、不正アクセス、マルウェアの改ざん、または通信回線の障害、天災地変等の不可抗力によって、ユーザーのデータが漏洩、消失、または不正に書き換えられたことにより生じた損害について、当社は一切の責任を負いません。

何らかの理由により当社がユーザーに対して損害賠償責任を負う場合であっても、当社の賠償責任の範囲は、ユーザーに直接かつ現実に生じた通常の損害に限られるものとし、かつ、損害事由が発生した対象取引において当社がユーザーから実際に受領したプラットフォーム手数料の額を上限とします。

All content on the Platform — including text, images, branding, and design — is owned by KAISEI / Ship Project or its licensors. Vessel photographs and specifications may be sourced from third-party sellers and remain the property of their respective owners. Unauthorized reproduction is prohibited.

We respect intellectual property rights. If you believe content on the Platform infringes your copyright, send a written notice to Kaisei.marine.contact@gmail.com with:

• Identification of the copyrighted work you claim has been infringed;
• The URL or listing reference of the allegedly infringing material on the Platform;
• Your name, address, telephone number, and email address;
• A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner.

We may remove or disable access to disputed content while reviewing valid notices. Repeat infringers may have Platform access terminated.

We may update these Terms at any time. Changes take effect upon posting to this page with an updated “Last updated” date. Continued use of the Platform after changes constitutes acceptance of the revised Terms.

These Terms are governed by the laws of Japan, without regard to conflict-of-law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Japan.
